Global law firm White & Case LLP advised Mercor S.A. on a preliminary agreement for the US$100+ million sale of its natural smoke exhaust and fire ventilation business to Kingspan société à responsabilité limitée, a subsidiary of Kingspan Group plc. The companies sold hold assets related to the operation of gravity smoke extraction systems, roof lighting systems and fire ventilation systems in Poland, Spain, the Czech Republic, Slovakia, the UK, Hungary, Ukraine and Romania.
Transaction completion is contingent upon satisfying certain conditions, including in particular Kingspan obtaining the concentration clearance from the relevant antitrust authority, and Mercor obtaining the consent from the company’s general meeting on the transfer of an organized part of the enterprise, and finally completing the separation of the assets sold.
Founded in 1988 and listed on the Warsaw Stock Exchange since 2007, Mercor is one of Europe’s leading companies in passive fire protection systems.
