SpóÅ‚ka Akcyjna OddziaÅ‚ w Polsce, in its capacity as Sole Global Coordinator and Sole Bookrunner, in connection with the PLN 222 million sale of shares in Integer.pl. S.A.

The transaction consisted of a sale by A&R Investments Limited, Integer’s shareholder controlled by RafaÅ‚ Brzoska, Integer’s CEO, of 888,862 existing shares representing 12.9% of the share capital in Integer.pl S.A., and was carried out by way of accelerated bookbuild process (ABB). The ABB were addressed to certain institutional investors in Poland and in other jurisdictions outside the United States of America, pursuant to Regulation S under the Securities Act of 1933, as well as to qualified institutional buyers in the United States of America, as defined in Rule 144A of the Securities Act of 1933. Proceeds from the sale of the existing shares in the ABB were utilized by A&R Investments Limited to repurchase new shares in Integer.pl. in a private placement.

Integer.pl Group is a leading Polish postal group, an independent financial operator and a provider of innovative postal-courier solutions and e-commerce services.
