According to the draft legislation which is to change the Commercial Companies Code and which has been proposed by the Minister of Justice, procedures of mergers and divisions of commercial companies are to be facilitated.

The new law will allow to omit preparation of a report justifying a merger of companies provided that all shareholders give their consent. Moreover, a plan of merger will not have to be examined by an auditor. Furthermore, the new legislation provides that shareholders may agree that a plan of merger or division of companies should be published on the website of the company instead of being published in the Court Journal [Monitor SÄ…dowy i Gospodarczy].
